Welcome to VoxClear (hereinafter referred to as "the Software" or "the Service"). This Agreement is a legally binding contract between you and the developer of the Software (hereinafter referred to as "we", "us", or "our") concerning your downloading, installing, and using of the Software. Please read this Agreement carefully before starting. By clicking agree, downloading, or using the Software, you acknowledge that you have fully understood and accepted all terms of this Agreement.
1.1 Local Operation and Features Statement: The Software is an offline audio/video processing tool powered by on-device AI computing, providing services including smart noise reduction, vocal and accompaniment track separation, ultra-pure recording, offline text transcription, and intelligent subtitle generation. All your audio/video data, recording files, transcribed texts, and subtitle results are processed and calculated locally on your iOS device only. We do not provide cloud storage, nor do we upload any of your files or texts to any external servers.
1.2 Limited License: We grant you a personal, non-transferable, non-exclusive license to use the Software on iOS devices that you legally own.
1.3 Reverse Engineering Prohibited: The built-in AI models (including noise reduction, track splitting, offline speech recognition, etc.), core algorithms, and code within the Software are our core trade secrets. You explicitly promise not to perform reverse engineering, decompile, disassemble, or attempt to extract source code or model parameters from the Software or its built-in local AI models, nor shall you create any derivative products.
Since you downloaded the Software via Apple's App Store, you acknowledge and agree that:
2.1 Contracting Parties: This Agreement is concluded solely between you and us, and Apple Inc. is not a party to this Agreement. We are solely responsible for the Software and its content.
2.2 Maintenance and Support: Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Software.
2.3 Third-Party Beneficiary: You agree that Apple and Apple’s subsidiaries are third-party beneficiaries of this Agreement. Upon your acceptance of this Agreement, Apple will have the right to enforce this Agreement against you as a third-party beneficiary.
We provide the "VoxClear Pro" auto-renewable subscription service and a lifetime purchase. If you choose to subscribe, you must comply with the following rules:
3.1 Free vs. Paid Version Rights: The basic (free) version of the Software is subject to a daily total processing duration limit. Upgrading to the paid version (including auto-renewable subscription or lifetime purchase) will lift the daily limit, granting you unlimited total processing duration.
3.2 Billing and Payment: Payment will be charged to your Apple ID account at confirmation of purchase. Prices are subject to real-time display on the purchase page.
3.3 Free Trial: Our subscription services may offer a free trial period. After the trial period ends, the system will automatically charge you according to the subscription cycle. Any unused portion of a free trial period will be forfeited when you purchase a subscription.
3.4 Auto-Renewal: Subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current period. Your Apple ID account will be charged for renewal within 24 hours prior to the end of the current period.
3.5 Canceling Subscription: You can manage or cancel your subscription at any time. Path: Open iOS "Settings" -> Tap "Apple ID" -> Tap "Subscriptions" -> Locate the Software and select cancel. If you do not wish to be charged, please complete the cancellation at least 24 hours before the end of the trial period or current subscription period.
4.1 Recording Conduct and Third-Party Consent: The Software provides recording features for multiple scenarios. You promise that when using the Software to record, you must strictly abide by local laws and regulations and obtain explicit informed consent from the recorded parties. Utilizing the Software for illegal eavesdropping, secret monitoring, or violating others' privacy is strictly prohibited. Any legal liabilities arising from your non-compliant recording behavior shall be solely borne by you.
4.2 Copyright Boundaries: Features such as "Smart Track Splitter", "Custom Mixing", "Offline Transcription", and "Intelligent Subtitles" are provided solely for your personal learning, research, or compliant work/life usage. You are strictly prohibited from utilizing this tool to extract copyrighted audio/video materials of others for transcription, redistribution, commercial release, secondary sales, or any other infringing acts.
4.3 Disclaimer on Content Authenticity and Recognition Accuracy: Given that the Software supports adjusting noise reduction intensity and independent mixing, the processed audio may differ from the original environment. Meanwhile, **offline speech recognition and subtitle transcription results are limited by the original audio clarity, background noise, accents, and local offline algorithm limitations; we cannot guarantee 100% absolute accuracy of the transcribed texts and timelines.** You understand and promise not to utilize the Software to forge or alter materials involving legal evidence or news reports that require absolute authenticity. We assume no legal responsibility for the authenticity of the processed audio or the exact correctness of the transcribed texts, and any direct or indirect losses caused by transcription errors shall be solely borne by you.
5.1 Hardware Performance Disparity and Recommendations: The Software adopts high-precision on-device AI models for purely local computations. To obtain a fast processing experience (especially for computationally heavy and energy-consuming offline speech-to-text calculations), we strongly recommend using devices equipped with A14 chips or above (such as iPhone 12 and subsequent models). On earlier device models, due to differences in physical computing power and graphics processing performance, processing wait times and device temperature may moderately increase, which represents normal on-device AI computing hardware performance and is not considered a software defect.
5.2 Processing Time and Computational Characteristics: Since the Software utilizes purely local on-device AI computations (when processing noise reduction, track splitting, or offline transcription), the processing duration and required system resources completely depend on the duration of your imported files and your device's chip processing power. For ultra-long or ultra-large media files, local calculations may consume significant time, which is a normal technical feature of edge AI computing. We recommend waiting patiently and keeping the app running in the foreground when processing large files to ensure successful local computation.
5.3 Data Security and Local Storage Risks: The Software adopts a secure and independent copy-processing mechanism. The app only reads the audio channel of your imported media files during runtime and does not modify or save your original files. Although the app features a local file management center to help you temporarily store processed records and transcribed subtitle files, please note that since the Software is a purely offline tool without cloud backup, all data in the file center resides in the iOS local app sandbox. To ensure absolute data security, we advise you to export processed results and texts to the system "Photos" or "Files" regularly. If data stored in the app is lost due to uninstalling the software, device damage, or system reset, we cannot provide retrieval services.
To the maximum extent permitted by applicable law, in no event shall we be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use or inability to use the Software. Under all circumstances, our total liability to you shall not exceed the actual amount you paid to use the Software in the past 12 months.
If you are under 18 years of age, please read this Agreement accompanied by your legal guardian, and use the paid services of the Software only after obtaining your guardian's consent.
We reserve the right to modify this Agreement at any time. When major revisions are made, we will notify you within the App. If you do not agree to the amended terms, you should stop using the Software; your continued use constitutes acceptance of the amended Agreement. If you violate any terms of this Agreement, we have the right to terminate your license without notice.
The formation, validity, performance, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the jurisdiction where the operating entity of the Software resides. Any dispute or controversy arising between you and us shall first be settled through friendly negotiation; if negotiation fails, you agree to submit the dispute to the court of competent jurisdiction where the developer resides.
